1. INTRODUCTION

Cadana Fertility is a digital fertility database and connection platform created to help licensed fertility clinics in Nigeria connect with potential semen donors, and to help eligible semen donors connect with licensed fertility clinics. Cadana Fertility is not a hospital, fertility clinic, sperm bank, laboratory, medical testing centre, storage facility, transportation provider, or reproductive treatment provider.

Cadana Fertility does not collect, store, freeze, test, transport, buy, sell, transfer, inseminate, or medically use semen samples. Cadana Fertility does not perform medical screening, psychological screening, infectious disease testing, genetic testing, fertility treatment, semen analysis, counselling, diagnosis, or any medical procedure. All medical, legal, ethical, screening, testing, storage, donor consent, treatment, and clinical decisions are the responsibility of the licensed fertility clinic and the relevant donor.

These Terms and Conditions govern access to and use of Cadana Fertility’s website, installed mobile application, database, chat and communication tools, donor profile system, clinic profile system, matching tools, account dashboard, content, forms, notifications, and related services.

By creating an account, browsing the platform, submitting information, contacting a donor or clinic through the platform, or otherwise using Cadana Fertility, you confirm that you have read, understood, and agreed to these Terms and Conditions, the Privacy Policy, the Cookie Policy, the Medical Disclaimer, the Donor Terms and Consent, the Fertility Clinic Terms, and all related policies contained in this document.

If you do not agree with these Terms, you must not use Cadana Fertility.

2. DEFINITIONS

For the purpose of this document:

“Cadana Fertility,” “we,” “us,” or “our” means the operator of the Cadana Fertility platform.

“Platform” means the Cadana Fertility website, application, database, dashboard, communication system, donor profile system, clinic directory, and any other digital service operated by Cadana Fertility.

“User” means any person or organization that accesses or uses the Platform, including donors and fertility clinics.

“Donor” means an adult male user who registers or applies to be listed as a possible semen donor for contact by licensed fertility clinics.

“Clinic” means a fertility clinic, hospital, medical centre, ART centre, or reproductive health provider that registers on Cadana Fertility to search for, contact, or connect with possible semen donors.

“Licensed Clinic” means a clinic that represents that it is legally registered, licensed, authorized, or otherwise permitted to operate as a healthcare or fertility service provider in Nigeria.

“Semen Donation” means the voluntary provision of semen by a donor to a fertility clinic for lawful fertility-related purposes, subject to the clinic’s own medical, legal, ethical, and consent procedures.

“Personal Data” means any information relating to an identified or identifiable natural person.

“Sensitive Personal Data” includes health data, genetic data, biometric data, sexual or reproductive data, identity documents, and other information that may be treated as sensitive under Nigerian data protection law.

“Content” means all text, images, profiles, logos, documents, information, messages, designs, graphics, files, and materials uploaded to or displayed on the Platform.

3. PURPOSE OF CADANA FERTILITY

Cadana Fertility exists as a digital fertility connection database designed to support lawful, organized, and responsible communication between eligible semen donors and licensed fertility clinics operating in Nigeria. The Platform is created to make the process of donor discovery more structured, more transparent, and easier to manage for both clinics and donors, while leaving all medical, legal, ethical, laboratory, counselling, screening, consent, storage, and treatment responsibilities to the relevant licensed fertility clinic.

The main purpose of Cadana Fertility is to provide a controlled digital environment where adult men who are interested in being considered as semen donors may create donor profiles, and where fertility clinics may create clinic accounts for the purpose of identifying and contacting possible donors. Cadana Fertility does not present itself as a medical authority, and the appearance of any donor profile on the Platform does not mean that the donor has been medically tested, medically approved, genetically screened, psychologically assessed, or declared suitable for semen donation. Suitability can only be determined by a qualified clinic through its own professional processes.

Cadana Fertility allows eligible semen donors to submit relevant profile information so that licensed fertility clinics may review basic donor details before deciding whether to make contact. Such information may include identity details, location, age, physical description, educational or occupational background, general health-related details voluntarily provided by the donor, and other information that may help clinics conduct an initial non-medical review. This profile system is intended only to support first-level connection and communication. It must not be treated as a replacement for medical evaluation, laboratory testing, genetic screening, infectious disease testing, counselling, or formal clinical consent.

Cadana Fertility also allows licensed fertility clinics to create clinic accounts so they can access the donor database in a more organized way. Clinics may use the Platform to search for possible donors, review available donor profiles, make contact with donors, and begin lawful professional conversations. Clinics are expected to use the Platform responsibly, ethically, and only for fertility-related purposes. Clinics must not use donor information for advertising, harassment, discrimination, public disclosure, unauthorized research, illegal sale of reproductive material, or any activity that is outside the purpose of the Platform.

Another purpose of Cadana Fertility is to reduce disorder, uncertainty, and informal handling in the donor-clinic connection process. Without a structured database, clinics and donors may rely on unverified personal referrals, social media messages, informal agents, or unsafe private arrangements. Cadana Fertility seeks to provide a safer digital starting point by encouraging profile structure, user accountability, basic identity verification, data protection, record keeping, and clearer communication between clinics and donors. However, Casana Fertility does not guarantee that all risk is removed, and each user remains responsible for proper due diligence.

The Platform is also intended to help donors make themselves available to clinics in a more private and organised manner. Donors may choose to register their interest, provide profile details, manage their availability, and receive contact from clinics that may be interested in further screening. A donor’s registration on Casana Fertility does not create an obligation to donate semen. A donor may still decide not to proceed with a clinic, subject to any separate agreement or consent process entered into directly with that clinic.

Casana Fertility may provide general platform information, account notices, administrative tools, profile management features, verification prompts, communication features, educational notices, privacy notices, consent acknowledgements, and policy updates. These tools are provided only to support platform use. They are not medical advice, legal advice, fertility counselling, genetic counselling, or professional clinical guidance.

For the avoidance of doubt, Casana Fertility does not guarantee that any donor will be contacted, selected, screened, approved, compensated, accepted, or used by any clinic. Casana Fertility also does not guarantee that any clinic will respond to a donor, accept a donor, treat a donor fairly, or proceed with any donation arrangement. All further discussions, screening, testing, agreements, consents, appointments, compensation discussions, medical procedures, and legal documentation are strictly between the donor and the clinic.

Casana Fertility does not guarantee fertility outcomes, pregnancy, successful assisted reproduction, semen quality, genetic compatibility, medical suitability, donor eligibility, legal parentage, donor anonymity, future contact rights, compensation, reimbursement, or any particular clinical, legal, emotional, or family outcome. The Platform exists only to facilitate initial connection and structured communication between clinics and donors.

Casana Fertility reserves the right to improve, modify, limit, suspend, or discontinue any part of its connection services where necessary for safety, compliance, platform integrity, data protection, user protection, business reasons, legal reasons, or operational reasons.
